MOMENTUM VADO HD CONTEST

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR TO WIN.

Contest is open to residents of the United States. The Contest is sponsored by Creative Labs, Inc., 1901 McCarthy Boulevard, Milpitas, CA 95035 ("Creative").

    Eligibility

  1. You must be an enrolled student at an accredited film school.
  2. Your film must be filmed entirely with the VadoHD Pocket Cam.
  3. Video length must be between 90 seconds and 5 minutes.
  4. You are allowed to record sound on another device if needed.
  5. Music must be original score and/or fully licensed according to YouTube rules.
  6. Your film must include the VadoHD watermark logo in the lower left hand corner. You can download the file here. You can download instructions here.
  7. The Contest is offered electronically via the Internet or by mail. It is open to all natural persons age 18 and older or who provide parental or guardian consent, who are residents of the United States for the duration of the Contest, and who have Internet access as of the day before the Contest begins or mail in an entry by the deadline. Employees, officers and directors of Creative, its affiliates, subsidiaries, advertising, promotion and fulfillment agencies, their immediate family members and persons living in their same household are not eligible to participate in the Contest. Void where prohibited. All federal, state and local laws and regulations apply.

    Video Submission/Entry

  8. You may only submit one (1) video to http://www.vadofilmcontest.com. We encourage quality over quantity.
  9. Video must be approved by Creative Labs prior to voting. No inappropriate or offensive content (lewd, nudity or suggestive) or inappropriate or offensive language according to YouTube rules.
  10. All content [must be be original].
  11. Your film must be output and uploaded as a highest quality Quicktime H.264, 1280 x 720 file. Please keep the original file(s) after submitting film. If you are selected as a finalist, we will require that you deliver your original film directly to Creative Labs. Please review and follow the required delivery specifications.
  12. Sunday, January 10, 2010 (11:59pm PT) ("Contest Period") is the final date for submission.
  13. Alternatively, you may also enter by mailing your submission, along with your name, address, email address (if you do not have an email address, print "no email address") and telephone number to Creative Labs Inc., Momentum Vado HD Contest, 1901 McCarthy Boulevard, Milpitas, CA 95035). Multiple entries are NOT permitted. In order to be eligible to participate, electronic entries must be received by Creative's server and mail in entries must be received no later than the Contest Period end date. All entries become the sole and exclusive property of Creative, and will not be acknowledged or returned. Creative has sole determination of whether or not a submission meets the eligibility criteria of this Contest.

    Voting/Selection of Winner

  14. Voters may vote for as many videos as they like, but can only vote for each video one (1) time per 24-hour period.
  15. You cannot vote for your own video.
  16. Any voting fraud will be cause for ineligibility.
  17. Expert Panel may be subject to change; however, we will have at least three (3) persons associated with the film industry.
  18. Audience voting period ends Sunday, January 31, 2010 (11:59pm PT)
  19. Contest Categories: 1) The most watched video卙ands down; 2) The critics choice 単eneral public audience votes and rates as the best in their opinion; 3) Experts Vote 卆 panel consisting of a minimum of three (3) film persons associated with the film industry will weigh in.

    Prizes

  20. All winners will be announced on Monday, February 08, 2010 (11:59pm PT).
  21. Prizes are subject to substitution by Creative, in the event of product unavailability.
  22. Value is estimated MSRP. All applicable tax liability is the sole responsibility of each winner.
  23. Prizes will be delivered by Sunday, February 28, 2010. Internship dates may depend on availability of student.
  24. Entrant must possess sole and exclusive rights to use, submit and transfer all such rights to the video submission to Creative. By submitting your entry, you irrevocably assign, transfer, and convey to Creative all right title and interest you may have in or to the submission under any applicable law. You irrevocably waive any and all so-called moral rights you may have in your submissions and agree not to use the submission for any purpose other than entering the Contest without Creative's express written permission. Submission must be the original work of the entrant, may not have been previously published, may not have won previous awards, and must not infringe upon the copyrights, trademarks, rights of privacy, publicity or other intellectual property or other rights of any person or entity. If the submission contains any material or elements that are not owned by the entrant and/or which are subject to the rights of third parties, the entrant is fully liable and warrants and represents that he or she has obtained prior to submission, any and all releases and consents necessary to permit the use and exhibition of the submission in the manner set forth in these Official Rules.

    Creative reserves the right to disqualify any submission for any reason, in its sole and absolute discretion.

    Each entrant acknowledges that its submission, or aspects thereof, will be competitive with and may be similar or in some instances identical to other submissions with regard to theme, concept, format, special effects, etc. Entrant expressly acknowledges that it will not be due any compensation for any reason, including Creative's selection of a winner that is similar or identical to entrant's submission.

    All decisions are final and binding. Odds of winning will be determined by the number of eligible entries received. Winners will be notified by email or mail at Creative's discretion within 10 days of the announcement. Winners will have 15 days from notification to accept the prize by email or by mail. Creative is not responsible for and shall not be liable for late, lost, misdirected, or unsuccessful efforts to notify winner. Creative reserves the right to post winners' names on the Internet.

    Each winner will be required to sign and return an affidavit of eligibility and compliance with contest rules release of liability, and, where lawful, a publicity consent agreement, all within 15 days of acknowledged notification. By accepting and/or using prize, winner agrees to the use of winner's full name, voice, and/or likeness, as well as the submission, for the purpose of advertising, publicity, trade, or promotion of Creative and/or products without further compensation, unless prohibited by law. If a selected winner cannot be contacted, is ineligible, fails to claim a prize, or fails to timely return the completed and executed affidavit, consent and releases as required, prize may be forfeited and an alternate winner selected. In the event of a dispute regarding who submitted an online entry, the entry will be deemed submitted by the authorized account holder of the email account.

    CONDITIONS: By entering, each entrant agrees to abide by and be bound by these Official Rules and the decisions of Creative, which shall be final in all respects relating to the Contest, including without limitation the interpretation of these rules. Creative, agents and representatives of Creative, its affiliates, subsidiaries, advertising, promotion, and fulfillment agencies, and legal advisors are not responsible for and shall not be liable for: (i) late, lost, delayed, damaged, misdirected, incomplete, illegible, unintelligible entries; (ii) telephone, electronic, hardware or software program, network, Internet, or computer malfunctions, failures, or difficulties of any kind; (iii) failed, incomplete, garbled, or delayed computer transmissions; (iv) any condition caused by events beyond the control of the Creative that may cause the Contest to be disrupted or corrupted; (v) any injuries, losses, or damages of any kind arising in connection with or as a result of the prize, or acceptance, possession, or use of the prize, or from participation in the Contest; or (vi) any printing or typographical errors in any materials associated with the Contest. Creative reserves the right, in its sole discretion, to suspend or cancel Contest in whole or in part at any time if a computer virus, bug, or other technical problem corrupts the administration, security, or proper play of the Contest. Creative also reserves the right in its sole discretion, to modify the rules, make prize substitutions or cancel this contest without notice.

    ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE THE WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, CREATIVE RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES FROM ANY SUCH ENTRANT TO THE FULLEST EXTENT PERMITTED BY LAW, INCLUDING CRIMINAL PROSECUTION.

    By participating in the Contest, each entrant hereby releases and holds Creative and the employees, officers, directors, shareholders, agents, representatives of Creative, its affiliates, subsidiaries, advertising, promotion, and fulfillment agencies, and legal advisors, harmless from any and all losses, damages, rights, claims and actions of any kind in connection with the Contest or resulting from acceptance, possession, or use of any prize, including without limitation, personal injury, death, and property damage, and claims based on publicity rights, defamation, or invasion of privacy.

    DISPUTES: As a condition of participating in this Contest, entrant agrees that any and all disputes which cannot be resolved between the parties, and causes of action arising out of or connected with this Contest, shall be resolved individually, without resort to any form of class action, exclusively, as follows: before a court located in the Santa Clara County, California having competent jurisdiction, which court shall apply the laws of the State of California without regard for doctrines of conflict of law. Further, in any such dispute, under no circumstance will entrant be permitted to obtain awards for, and hereby waives all rights to claim or receive punitive, incidental or consequential damages, or any other damages or costs, including attorneys' fees, other than entrant's actual out-of-pocket expenses (i.e., costs associated with entering this Contest), and entrant further waives all rights to have damages multiplied or increased.
